Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of Stradhoc, an AI-powered consulting-artefact generation platform operated by IntelliTechne Inc. (“IntelliTechne”, “we”, “us”, or “our”). By creating an account, purchasing an artefact, or otherwise using Stradhoc, you agree to these Terms.

1. Who we are

Stradhoc is a product of IntelliTechne Inc., a company incorporated in the State of California, United States. References to “Stradhoc”, “the Service”, or “the platform” mean the website at www.stradhoc.com and the artefact-generation services provided through it.

2. Eligibility and accounts

  • You must be at least 18 years old and able to form a legally binding contract to use the Service.
  • If you use Stradhoc on behalf of a company or other organisation, you represent that you are authorised to bind that organisation to these Terms, and “you” includes that organisation.
  • Accounts and authentication are handled by our identity provider. You are responsible for keeping your sign-in credentials secure and for all activity under your account.
  • You agree to provide accurate information and to keep it up to date.

3. The Service

Stradhoc generates customised consulting artefacts — strategies, frameworks, policy suites, standards, assessments, and workshop materials — from a structured questionnaire you complete. Each artefact is produced using artificial intelligence and delivered as an editable Microsoft Word or Excel document. Outputs are unique to the information you provide and are intended for your own internal business use.

4. Orders, pricing, and payment

  • Catalogue prices are quoted and charged in US Dollars (USD) and are billed by IntelliTechne Inc..
  • Payments are processed by our payment provider, Stripe. We do not receive or store your full card details.
  • Applicable sales tax or VAT is calculated and added at checkout where required. Bundle discounts and any partner promotion codes are applied at checkout.
  • An order is accepted when payment is confirmed, at which point we begin preparing your artefact and its questionnaire.

5. Refunds

Because each artefact is uniquely generated digital content produced on demand, our refund terms are set out in our Refund Policy, which forms part of these Terms. By placing an order you consent to generation beginning immediately and acknowledge the effect this has on statutory cancellation rights, as described in that policy.

6. Your content and your data

“Your Content” means the information you submit through questionnaires, any logo or materials you upload, and other inputs you provide. You retain all rights in Your Content. You grant us a limited, non-exclusive licence to process Your Content for the sole purpose of providing the Service — including generating, formatting, quality-reviewing, storing, and delivering your artefacts. You are responsible for ensuring you have the right to submit Your Content and that it does not infringe any third party's rights or any law. Our handling of personal data is described in our Privacy Policy.

7. Intellectual property

The platform

Stradhoc, including its software, templates, prompts, document structures, branding, and all related intellectual property, is owned by IntelliTechne Inc. and protected by intellectual property laws. These Terms do not transfer any ownership of the platform to you.

Your generated artefacts

Subject to your payment for an artefact and your compliance with these Terms, we assign to you the generated output document for that order, so that you may use, edit, adapt, reproduce, and distribute it for your own and your organisation's business purposes without per-seat fees, watermarks, or further licence payments. This grant does not extend to the underlying platform, templates, or prompts, and does not give you the right to resell or redistribute Stradhoc's generation capability itself.

8. AI-generated content — important notice

Stradhoc artefacts are produced by artificial intelligence based on the information you provide. They are provided to support your own analysis and decision-making and are not legal, financial, tax, regulatory, accounting, or other professional advice. Use of the Service does not create any advisory, consultant–client, attorney–client, or fiduciary relationship between you and IntelliTechne Inc..

AI-generated content may contain errors, omissions, or statements that are not suitable for your particular circumstances. Any regulatory frameworks, legislation, standards, statistics, or figures referenced in an artefact are provided for general information only and should be independently verified with a suitably qualified professional before you rely on or act on them. You are solely responsible for reviewing, validating, and adapting every artefact before use.

9. Acceptable use

You agree not to:

  • use the Service for any unlawful, fraudulent, or harmful purpose;
  • submit content that is illegal, infringing, defamatory, or that you do not have the right to submit;
  • attempt to reverse engineer, scrape, copy, or resell the platform, its prompts, or its generation capability;
  • circumvent, disable, or interfere with security or access-control features of the Service; or
  • use the Service in a way that disrupts or imposes an unreasonable load on our systems.

10. Service availability

We aim to keep the Service available and to generate artefacts reliably, but we provide the Service on an “as available” basis and do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features from time to time.

11. Disclaimer of warranties

To the maximum extent permitted by law, the Service and all artefacts are provided “as is” and “as available”, without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that any artefact will be free of errors or suitable for any particular use.

12. Limitation of liability

To the maximum extent permitted by law, IntelliTechne Inc. and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of (or inability to use) the Service or any artefact. Our total aggregate liability for any claim relating to the Service or an artefact will not exceed the amount you paid for the artefact giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

13. Indemnity

You agree to indemnify and hold harmless IntelliTechne Inc. from any claims, losses, or expenses (including reasonable legal fees) arising from Your Content, your use of the Service, your reliance on an artefact, or your breach of these Terms.

14. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or use the Service in a way that creates risk or legal exposure. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnity) will survive.

15. Governing law and disputes

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in California will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to the personal jurisdiction of those courts, except where applicable mandatory consumer-protection law gives you the right to bring proceedings in your country of residence.

16. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and, where the changes are material, take reasonable steps to notify you. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.
